2. Client Responsibilities
Clients engaging Click Vibe agree to provide accurate and complete information necessary for the delivery of services, including text, images, logos, branding guidelines, access credentials, and approvals. Clients are responsible for reviewing and approving deliverables in a timely manner.

3. Quotations & Payments

All quotes and proposals provided by Click Vibe are valid for the period specified unless otherwise agreed.
Payments are due according to the agreed schedule, which may include upfront deposits, milestone payments, or full payment upon completion.
Late payments may incur interest at [10%] per month.
All prices exclude applicable taxes unless otherwise stated.

4. Project Timeline
Click Vibe will provide estimated project timelines based on scope, complexity, and client responsiveness. Delays caused by clients, third-party providers, or unforeseen circumstances may impact delivery dates. Click Vibe is not liable for delays beyond our reasonable control.

5. Intellectual Property

Click Vibe retains copyright over all design concepts, source files, code, and content created unless explicitly transferred via written agreement.
Clients are granted a non-exclusive license to use deliverables for their intended purpose upon full payment.
Any use of Click Vibe’s designs, code, or content beyond the agreed scope requires prior written permission.

6. Client Content & Accuracy
Clients warrant that all content provided (text, images, logos, videos) does not infringe third-party rights, contain unlawful material, or violate privacy or copyright laws. Click Vibe is not responsible for verifying the legality of client-supplied content.

7. Confidentiality
Click Vibe will maintain the confidentiality of client information and project details. Likewise, clients agree not to disclose proprietary information related to Click Vibe’s methods, pricing, or intellectual property without written consent.

8. Warranties & Liability

Click Vibe provides services with reasonable skill and care but makes no guarantees regarding search engine rankings, website traffic, or specific business outcomes.
To the maximum extent permitted by law, Click Vibe is not liable for indirect, incidental, or consequential damages arising from services or website use.
Client’s sole remedy for any claim is limited to the fees paid for the specific service giving rise to the claim.

9. Termination
Either party may terminate a project or service agreement with written notice. Upon termination, the client will pay for work completed up to the termination date. Any outstanding fees, intellectual property rights, or deliverables will be handled according to the original agreement.

10. Third-Party Services
Click Vibe may recommend or integrate third-party tools, hosting platforms, or plugins. Use of these services is subject to the third party’s terms and conditions. Click Vibe is not responsible for any interruptions, changes, or costs related to third-party services.

11. Changes to Terms
Click Vibe reserves the right to update or modify these Terms & Conditions at any time. Updated terms will be posted on our website with the “Effective Date” updated. Continued use of our website or services constitutes acceptance of the updated terms.

12. Governing Law
These Terms & Conditions are governed by the laws of the State of Victoria, Australia. Any disputes arising under these terms will be subject to the exclusive jurisdiction of courts in Victoria.
